Terms of Service
These are the rules for using Earl. They're written to be read. Last updated September 20, 2026.
Earl is made by Earl Software LLC, a Rhode Island company ("we", "us"). By creating an account, signing in, or using Earl on the web, on a phone, by text, by email, or by calling a number Earl answers, you ("you", "the customer") agree to these terms and to our privacy policy. If you're using Earl for a business, you're agreeing on that business's behalf and you confirm you're allowed to.
1. What Earl is
Earl is software that helps a small business run its office: it answers and places calls on a business line, sends and receives email and text messages, keeps records (customers, jobs, calendar, stock, hours, quotes, invoices), and drafts documents, using artificial intelligence. Earl works from what you and your team tell it and from the records you keep in it. Earl is a tool for your business; it is not an employee, an accountant, a lawyer, or a substitute for your own judgment.
2. Your account
Your phone number is your login. Keep your phone secure and use the app lock, a passkey, or Face ID. You're responsible for what happens under your account and for the people you invite. Employees you add get limited access; they never see pay, rates, invoices, or quotes unless you make them an owner. Tell us right away if you think someone has your access. You must be at least 18 and using Earl for a business.
3. Price and payment
Earl costs $250 a month per business, everyone on the business included, billed monthly through Stripe, plus any add-ons and metered use you turn on (for example phone minutes past the 200 included each month, shown under Plan & billing before they're charged). The first 3 days are free and need no card. Prices can change with 30 days' notice by email or in the app; the change applies from your next billing period. Taxes are added where the law requires. Charges that fail may pause the service until they go through.
4. Cancelling and closing
Cancel any time under Office → Plan & billing. You keep access to the end of the period you've paid for, and there are no refunds for partial months except where the law requires them. Closing the business deletes its records for good after a confirmation; download a backup first if you want a copy. We may close or suspend an account that breaks these terms, doesn't pay, or puts other customers at risk; we'll tell you why unless the law says we can't.
5. Your records are yours
Everything you and your team put into Earl, and everything Earl writes into your records from your calls, messages, and instructions, belongs to you. You can export it as spreadsheets and PDFs at any time. You give us permission to store, process, and show that content to run the service for you, including sending it to the AI models, telephony, email, and payment providers that Earl is built on, under contracts that forbid them from using it for anything else. We never sell your data and never use it to advertise to you or anyone. The privacy policy has the details, including how long we keep things and how to get them deleted.
6. What Earl does on your behalf
When you tell Earl to send a quote, text a customer, book a job, record a payment, or call someone, Earl does it in your name. You're responsible for what you ask Earl to send and for checking what he sends before it goes to a customer. Earl asks before doing anything that can't be undone and shows you every change it makes; it can still make mistakes. Read what it did, and tell it when it's wrong. Calls on a business line may be recorded so Earl can take notes; you're responsible for any notice the law in your state requires, and Earl plays one to callers by default.
7. Fair use
Use Earl for a real business and treat the people it talks to the way you'd want to be treated. Don't use Earl to send spam, to harass anyone, to break the law, to pretend to be someone else, to send messages to people who asked you to stop, or to handle data you don't have the right to handle. Don't try to break into Earl, overload it, copy it, or pull its instructions or models out of it. Phone and messaging use is subject to the carriers' rules; we may limit volumes that look automated or abusive.
8. Third-party services
Earl connects to services you choose to connect, such as your Gmail account and your Stripe account for customer payments. Those services have their own terms, and you're the one who authorizes and can revoke the connection. Payments from your customers go into your own Stripe account; we don't hold your money. Earl's own subscription is billed by us through Stripe.
9. Uptime and changes
We work to keep Earl available around the clock and we back your records up nightly, but we don't promise it will never be down. We may add, change, or retire features. If we retire something you rely on, we'll say so in advance where we can. We may update these terms; the date at the top changes when we do, and material changes get a notice in the app or by email. Using Earl after that means you accept them.
10. Warranty and liability
Earl is provided as is. To the fullest extent the law allows, we make no promises that it will be error-free or fit for a particular purpose, and we're not liable for indirect, incidental, or consequential losses, lost profits, or lost data, or for the acts of third parties or of the AI models, carriers, and providers Earl depends on. Our total liability to you for any claim is limited to what you paid us in the twelve months before the claim. Some places don't allow these limits, so they may not all apply to you.
11. Disputes
These terms are governed by the laws of the State of Rhode Island, United States, without regard to its conflict-of-law rules. If we have a disagreement, tell us first and we'll try to sort it out within 30 days. If we can't, it goes to the state or federal courts in Rhode Island, and you agree to that jurisdiction. Nothing here takes away rights you have under the consumer laws of where you live.
